Terms of Service
These Terms of Service are a contract between you and PodControl. They cover your use of the PodControl website, the PodControl app, and the emails and messages we send about them. We call all of these the Service.
Read these Terms before you use the Service. If you do not agree to them, do not use the Service.
In these Terms, PodControl, we, us, and our mean PodControl, the maker of the One Click Podcast Engine. You and your mean the person or business who uses the Service.
1. The agreement
You accept these Terms when you redeem a purchase code, buy a plan, create an account, or sign in. You also accept our Privacy Policy, our DMCA Policy, our SMS Terms and Messaging Compliance page, and our Disclaimer. These documents are part of the agreement.
If you use the Service for a business, you accept these Terms for the business. You confirm you have authority to do so.
2. What the Service does
PodControl reads a podcast archive you connect. It finds strong moments, makes captioned clips, and publishes the clips to the social networks you connect.
You decide how clips go out. You can review every clip before it posts. You can let approved clips post on a schedule. You can also choose a mix of both. You can allow a network to receive uploads as drafts or as direct posts.
The Service uses automated tools, including artificial intelligence, to choose moments, write captions and titles, and format clips. Section 9 explains how this affects you.
3. Eligibility and your account
- You must be at least 18 years old and able to form a binding contract where you live.
- Use an email address you control. Give us accurate information and keep it current.
- Keep your sign-in details private. You are responsible for all activity on your account.
- One plan covers one show, unless your plan says otherwise.
- Tell us at once if you think someone else used your account.
4. Plans, clips, and channels
Each plan includes a monthly clip allowance and a number of connected channels. A channel is one connected social account.
One clip becomes one post on each connected channel. The monthly clip allowance is the limit. We set no separate limit for each day. We will not reduce the allowance of your plan during the term your plan states.
| Plan | Clips a month | Connected channels | Posts a month |
|---|---|---|---|
| Starter | 35 | 1 | 35 |
| Engine | 60 | 3 | 180 |
| Amplify | 150 | 8 | 1,200 |
| Prolific | 300 | 10 | 3,000 |
| Founder's Circle | Machine ceiling | 10 | By allowance |
| VIP | Machine ceiling | 10 | By allowance |
Machine ceiling means the most clips the Service can process for you in a month. The written offer for the Founder's Circle and VIP plans may state further terms.
Rejecting a clip refunds its credit. Clips you never review expire on their own and refund their credit too.
5. Billing and payment
Checkout shows the price of a plan, its billing terms, and what it includes. You see these before you pay. If you buy through a marketplace, the marketplace shows them.
A plan which renews does so each billing period at the price shown at checkout, until you cancel. You can cancel at any time. Cancelling stops the next charge. It does not refund a period you already paid for, except as Section 6 states.
Prices do not include taxes unless checkout says so. You pay the taxes shown at checkout.
Our checkout provider, or the marketplace where you buy, processes your payment. We do not see or store your full card number.
6. Refunds and the First Clip Promise
90-day refund. If you buy directly from us, you can ask for a full refund within 90 days of your purchase. Email [email protected]. We ask no questions and attach no conditions. You keep every clip either way. A refund ends your plan and your access.
Marketplace purchases. If you buy through a marketplace, the refund policy of the marketplace applies to that purchase. AppSumo purchases follow the refund window of AppSumo. Ask the marketplace for those refunds.
The First Clip Promise. Connect your archive. If your first episode does not return clip posts you would publish, we get on a call with you and personally help you get there. You keep every clip either way. The First Clip Promise stands beside the 90-day refund. It does not replace it.
Your legal rights. Nothing in these Terms limits a right you have under the consumer law which applies to you.
7. Your content and your permission to us
You keep ownership of your recordings, your transcripts, and the clips we make from them. We claim no ownership of your content.
You give us permission to store, process, transcribe, edit, caption, format, and publish your content, and to send it to the networks you connect. We use this permission for one purpose: to run the Service for you. It lasts while your account is open, and for the short time we need to remove your content from our systems.
You confirm you have the rights to everything you connect and publish. This includes the words, voices, and images of your guests and co-hosts. Obtain every consent or release the law requires. License any music or other third-party material in your recordings.
We work from copies of your recordings. You keep your originals. The Privacy Policy states how long we keep copies and how you can ask us to delete them.
We may use combined statistics about how the Service performs. These statistics do not identify you or your content.
8. Connected accounts and third-party networks
You can connect LinkedIn, Facebook, Instagram, Threads, TikTok, X, Pinterest, YouTube, Bluesky, and Nostr, so the Service can publish for you. The terms and rules of each network apply to your use of it. We do not control the networks.
When you connect an account, you give us permission to post on it at your direction. We use this access only to run the Service. You can disconnect an account in the app or in the settings of the network at any time. A disconnected account stops receiving posts.
Networks can change their rules, limits, and technology, and they can withdraw access without notice. A network can also reject or remove a post. We are not responsible for these actions. We will tell you what we can and we will work to adapt.
If you connect YouTube, you also agree to the YouTube Terms of Service. The Google Privacy Policy applies to the data you share with Google. You can remove our access at any time in your Google security settings.
9. AI-assisted output
The Service uses artificial intelligence to choose moments, write captions and titles, and format clips. AI can make mistakes. It can misquote a speaker, misread a name, pick a weak moment, or write a caption you dislike.
You are responsible for what you publish. Review clips before they post, or accept the risk of automatic posting. We do not promise AI output is accurate, complete, or right for your audience.
To write captions and titles, the Service sends short excerpts of your transcripts to third-party AI service providers. The Privacy Policy explains this.
10. Acceptable use
Use the Service lawfully and with respect for other people. Do not:
- Upload, connect, or publish content which infringes the rights of others, or which you have no right to use.
- Publish content which is unlawful, defamatory, harassing, hateful, sexually exploitative, or deceptive, or which promotes violence or self-harm.
- Impersonate a person, or mislead people about who made the content.
- Use the Service to send spam or to break the rules of a network.
- Try to reach the account or data of another customer.
- Probe, scan, or test the Service for weaknesses without our written permission.
- Interfere with the Service, overload it, or bypass its limits, allowances, or security.
- Copy, resell, rent, or sublicense the Service, or share one account across several shows or businesses, without our written agreement.
- Reverse engineer the Service or extract its source code, except where the law allows.
- Use the Service to build a competing product.
We can remove content, pause publishing, or suspend an account which breaks these rules. We try to tell you first. We can act without notice when we must protect people, the Service, or the law.
11. Our property
The Service, its software, design, text, and brand belong to PodControl and its licensors. These Terms give you a personal, limited, non-exclusive, non-transferable right to use the Service during your plan. They give you no ownership of the Service.
The names and logos of PodControl are ours. Do not use them without our written permission. If you send us feedback or ideas, we can use them without payment or credit.
12. Copyright complaints
We respond to notices of claimed copyright infringement under our DMCA Policy. We end the accounts of repeat infringers in appropriate circumstances.
13. Privacy and messages
The Privacy Policy explains how we handle personal information. The SMS Terms and Messaging Compliance page explains how we send email and text messages.
By using the Service, you agree to receive service messages, such as receipts, security notices, and notices about your clips. You can opt out of marketing messages at any time.
14. Availability and changes to the Service
We work to keep the Service available. We do not promise it will run without interruption or error. Maintenance, outages at third-party providers, and events outside our control can interrupt it.
We can change, improve, or remove features. We will not make a change which reduces what your plan states for its term.
If we stop offering the Service, we will give you notice. We will also give you a fair way to retrieve your clips, as far as the law and the networks allow.
15. Disclaimers
The Service is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied. This includes warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not promise the Service will meet a particular result. We do not promise any number of views, followers, downloads, leads, or sales. Results depend on your content, your audience, the networks, and other factors outside our control.
Read our Disclaimer page together with this section.
16. Limitation of liability
To the fullest extent the law allows, PodControl and its owners, contractors, and suppliers are not liable for indirect, incidental, special, consequential, or punitive damages. This includes lost profit, revenue, data, goodwill, and audience.
Our total liability for any claim about the Service is limited to what you paid us in the 12 months before the claim arose.
Some places do not allow these limits. In those places, the limits apply as far as the law permits. Nothing in these Terms limits liability which the law does not allow us to limit. This includes liability for fraud, and liability for death or personal injury caused by negligence.
17. Indemnity
You agree to defend PodControl and its owners, contractors, and suppliers against claims, and to pay the resulting losses and costs, including reasonable legal fees. This covers claims which arise from your content. It also covers claims which arise from your breach of these Terms, the rights of another person, or the rules of a network.
We will tell you of the claim promptly. We will cooperate with your defense at your cost.
18. Ending the agreement
You can stop using the Service and close your account at any time. Email us to close your account and to ask for your data to be deleted.
We can suspend or end your access in these cases:
- You break these Terms.
- You do not pay.
- The law requires it.
- Your use puts other people or the Service at risk.
Ending the agreement does not remove any right you have under Section 6. Sections which by their nature should continue after the agreement ends will continue. These include the sections on content, disclaimers, liability, indemnity, and governing law.
19. Governing law and disputes
The laws of the Province of Ontario, Canada, and the federal laws of Canada which apply there, govern these Terms. Conflict-of-law rules do not apply.
If you have a concern, email us first and give us 30 days to resolve it. Most concerns end there.
The courts of Ontario have exclusive jurisdiction over any dispute which remains. If you are a consumer, you keep the benefit of the mandatory consumer laws where you live. You can bring a claim there if those laws allow it.
20. General terms
These Terms, and the documents they name, are the entire agreement between you and us about the Service.
If a court finds part of these Terms unenforceable, the rest stays in force. If we do not enforce a right, we do not give it up. You cannot assign these Terms without our written consent. We can assign them as part of a merger, sale, or reorganization.
We are not liable for delay or failure caused by events beyond our reasonable control.
We can send notices to the email address on your account, or in the app. You can send notices to the contact details below. Headings are for convenience only.
21. Changes to these Terms
We can update these Terms. The date at the top shows the latest update. For a material change, we give notice by email or in the app before the change takes effect.
If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not accept them, stop using the Service. You can still ask for a refund under Section 6 within 90 days of your purchase.
